Terms and conditions can be boring! But it’s always important to have things written down. I’ll try to go to the point with this one:
Definition:
The customer (that’s you!), hires Alex Lopez trading as Yellow Alpaca, North Lodge, North Drive, Ossemsley, BH25 5TJ to deliver design services as outlined in the design brief.
Acceptance of work:
Before we can enter into a contract, I will provide you with a design brief that clearly outlines the scope of the project, deliverables to you and a payment schedule. This brief is valid for 30 days from date of issue.
You are deemed to enter into this contract on behalf of yourself, when you pay for my services. You then agree to give me everything I need to complete the project in good timing and in the format I need it, to enable me to keep the project moving. I expect you to review my work, provide feedback and approval in a timely manner. How tight we keep to deadlines depends as much of you as it does of me. You also agree to stick to the payment schedule as set out in the design brief.
Me: I will deliver everything we’ve agreed on in a professional and timely manner. I will endeavour to stick to the time schedule agreed on (provided you have too) and maintain confidentiality throughout.
Additional Work:
If additional work is required that was not previously agreed within the design brief or quotation, it will be subject to additional charges, which will be agreed with you prior to any work being carried out. You should bear in mind that if the work is needed as part of an existing project, then this may affect time scale and overall delivery time of the project.
Cancellation of contract:
The design brief is set out in such a way that each step of the design is broken down into deliverables and costs, allowing my clients plenty of time to review my work and provide feedback after each proof. If, at any stage, you are not happy with the direction my work is taking, you are within you rights to cancel our contract and would have to pay only for the work produced until that point.
As part of my service, I can connect you with other professionals that provide marketing and SEO services. This service will be invoiced separately and your contract is with them individually and separate from our own agreement.
Design elements:
Body of text
In an ideal world my clients provide the body of text to be included being web design, brochures, posters, etc. As part of my service I can research body of text that aligns with the services provided from competitors. The web is vast and, from time to time, some of the elements of the text I produce may overlap with that of other websites. I cannot guarantee that my work will be error-free and cannot be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you have advised me of them. It is therefore your responsibility to review and approve all text I produce for you.
This applies in particular to GDPR compliance as I do not have a legal background.
Photographs and Imagery
All photographic elements need to be provided by the client in high resolution format, ensuring the correct licensing applies. However, I can also source images and icons which will carry an additional cost.
Payments:
The design brief is usually set out in 3 or 4 stages, with a cost attached to each stage. At the beginning of every stage you will be issued with an invoice setting out the work to be completed, which becomes payable 14 working days after date of issue. After this date, I reserve the right to add 8% daily interest charge to the payable amount.
I am sure you know that prompt payment is incredibly important to a small business, so I hope you understand that I cannot carry out any work until the invoice is paid in full.
I reserve the right to not carry out any further work, where a client hasn’t adhered to the payment schedule, as set out in the design brief.
Copyrights:
When the final stage of the work is paid in full, you will own all visual elements of the project, including logos, text, iconography and mockups.
I will give you source files and finished files and you should keep them somewhere safe as I am not required to keep a copy.
From time to time, I like to share what I have learned from each and every project with other people, including web and social media accounts and could therefore display and link your project to my portfolio, unless you ask me not to.
Although the language is simple, the intentions are serious and these terms and conditions are a legal document under exclusive jurisdiction of English courts.

As part of the design process I will ask you to complete a questionnaire designed to help steer creative direction. I may ask you to provide some personal identifiable information such as:
- Your name and address and that of your business
- Your annual turnover
- Your email
- Accounts passwords and personal profiles
How do I collect this information?
When you make an enquiry via email and as part of the design process. Your personal information will be used for the specific reasons stated below only.

How do I store, share and disclose information?
Details of your project are saved behind a firewall in my personal desktop. I do not use web forms and any details disclosed by you using email or any other electronic devise are entirely at your own risk.

Whilst I take all reasonable steps to make sure that your data is treated securely a
nd in agreement with this Privacy Notice, you should note that the transmission of information via the internet is not completely secure and therefore I cannot guarantee the security of data sent to me electronically and transmission of such data is therefore entirely at your own risk. Your personal details will be used for the reasons stated in the above section and will not be shared with third parties, so you can rest assured.
How long will I keep your data?
I will not keep your personal information for longer than necessary for our business purposes or for legal requirements.
I reserve the right to modify this privacy policy at any time, so please review it frequently. Changes and clarifications will take effect immediately upon their posting on the website. If we make material changes to this policy, we will notify you here that it has been updated, so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we use and/or disclose it.
